CODE OF ETHICS
Solaer Renewable Energies Ltd  

General

Solaer Renewable Energies advocates an organizational and business culture of its employees and managers, in which each of us has a personal responsibility to follow the principles and rules in our daily lives and to make sure that these rules are implemented and respected.

 

The code of ethics

The ethical code is the company's value identity card. It contains within it the purpose of the company and its core values. It is intended to bring about the creation and existence of an organizational and value culture. A culture that will strengthen the relationship between the company's employees, will establish the relationships of trust, integrity, reliability and human values and towards each of those who come into contact with the Solair company: business partners, customers, suppliers, competitors, the capital market, corporate governance, society and the environment.

The formation of these principles into an ethical code is a binding validation of these values among the company's employees and guides us on how to perform our work under the principles of the company's corporate and business culture.

Our values apply to all of us and represent our path and serve as guides in all our actions.

Compliance with the provisions of the law:

We, the employees of Solair Renewable Energies, are required to act according to the requirements of the law, the regulations and this code of ethics, and to avoid violating them.

We must all recognize that activity that does not comply with the provisions of the law and regulations may also impose responsibility and liability on the company itself and/or its employees in the past, present and future.

Integrity and fairness towards others and the environment:

As employees, we are committed to proper, fair and respectful behavior towards the human capital in and outside the company and to safeguarding the company's assets. In this framework, we must avoid, among other things, any action or use that may cause loss or damage to a person or property. In addition, we will respect all third parties with whom the company comes into contact and their rights (including: contractors, service providers, business partners, etc.) and will treat them with respect, courtesy and honesty.

Professional and ethical behavior:

Professionalism and excellence are the foundations that the company strives to preserve and cultivate, these foundations form the basis for the company's achievements over the years. As employees of Solair Renewable Energies, we are committed to effort and investment and to the pursuit of optimal professional achievements in order to bring the company to the highest place possible.

Along with professionalism, Solaer is even more careful to emphasize the fundamental values: integrity, fairness and compliance with the law without any compromise or concession.

Prohibition of using inside information:

Due to Solaer being a public company, securities laws apply to it, regarding the limitation of use of inside information. As employees of the Solaer company, we are required not to use inside information for the purpose of activity (buying or selling) in an investment property (securities or real property) and to refrain from directly or indirectly using this inside information disclosed to us. By virtue of our roles in the company, we may be exposed to information that has not yet reached the deadline according to law to be published to the public, and in this case, we are required not to exploit this information at all and are required not to purchase or sell securities of Solaer Renewable Energies on the basis of this information.

Reports to the Securities Authority:

We, as employees of Solaer, are required to bring to the attention of our superiors, any information in our possession about events that may have a material impact on the company or significantly affect the price of the company's securities. In general, it can be said that an event that requires immediate reporting is an event with important information related to the company that a reasonable investor would attach importance to in order to make a decision regarding his investment in the company's securities.

sexual harassment:

Solaer is committed to providing a safe and harassment-free work environment. In accordance with this commitment, the Solair company conducts itself in accordance with the law for the prevention of sexual harassment, and takes preventive measures within the framework of which the provisions of the law prohibiting sexual harassment and its regulations are brought to our attention as company employees. We are all bound by the regulations for the prevention of sexual harassment and are required to act according to them. As the company's employees, we must completely avoid acts of sexual harassment and harassment within the framework of working relationships, and including this, we are obligated to avoid any physical or verbal action with sexual content that creates an offensive, hostile or threatening work environment.

Contribution to the community and environmental responsibility:

We believe that a tangible contribution to the community, caring and true partnership of the employees, are a condition for the social and business activities of the company. We promote and will promote entrepreneurship and voluntary activity in various social enterprises and in the process support and active participation in worthy social goals.

The Solaer company operates and will continue to maintain the quality of the environment and will avoid excessive use of natural resources, as well as adhere to environmental responsibility, including recycling, etc.

Safety:

The Solaer company considers it of utmost importance to maintain the safety rules and to maintain a safe environment for the company's customers and its employees. The company will continue to avoid exposure to risk, and will exercise extra caution in carrying out actions that involve possible risk. We consider it important to ensure the physical conditions that allow the work to be performed as safely as possible, and to report any defect, accident or near-accident.

The lives and health of the employees are the company's top priority.

Observance of the law, including the prohibition of accepting and giving bribes and corruption:

As employees of the Solaer company, we are obliged to act both among ourselves and towards all other entities that are in commercial relations with us according to the principles of integrity and cleanliness. As part of our work in the company, we must avoid receiving favors from business entities.

An employee whose hand is tainted with corruption is expected to be subject to disciplinary measures, up to the point of dismissal. In addition, civil fines and criminal penalties may be imposed on him and the company that may be exposed to liability for acts of corruption committed by third parties acting on its behalf. We, the company's employees, have the duty to refrain from actions that may indicate a possible violation of the instructions for the prevention of bribery and to report immediately, when a suspicion of a violation arises.
